1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and JoanProp ("Company", "we", "us") governing your access to and use of the JoanProp platform, including our website, APIs, and related services (collectively, the "Platform").

By registering an account, browsing listings, submitting enquiries, or otherwise using the Platform, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You have read, understood, and agree to these Terms
• You will comply with all applicable Malaysian laws and regulations

2. Description of Service

JoanProp is an online property listing and search platform operating in Malaysia, with a focus on Johor Bahru, Penang, and surrounding areas. Our Platform provides:

• Property search and discovery tools for buyers and tenants
• Listing management tools for agents, sellers, and landlords
• Communication tools to connect buyers/tenants with agents
• Auction property listings and related information
• Market insights and property information

JoanProp is a marketplace platform and does not act as a real estate agent, broker, or party to any property transaction. We facilitate connections between parties but are not responsible for the outcome of any transaction.

3. User Accounts

Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

• You are responsible for maintaining the confidentiality of your password
• You must notify us immediately of any unauthorised use of your account
• You may not share your account credentials with any third party
• We reserve the right to disable accounts that violate these Terms

Agent Accounts

Users registering as licensed real estate agents must hold a valid REN (Real Estate Negotiator) registration from the Board of Valuers, Appraisers, Estate Agents and Property Managers (BOVAEA) Malaysia. By registering as an agent, you confirm the validity of your licence and consent to verification.

4. Property Listings

Accuracy

All property information submitted to JoanProp must be accurate, truthful, and not misleading. Users who submit listings warrant that:

• They are authorised to list the property (as owner, agent, or with written consent)
• All property details, photos, and pricing are accurate at time of submission
• The property is genuinely available for sale or rent as stated
• No material information has been omitted that would affect a buyer's/tenant's decision

Prohibited Listings

The following are strictly prohibited on JoanProp:

• Duplicate or ghost listings (listing the same property multiple times)
• Properties you do not have authority to list
• Fraudulent, fictitious, or bait-and-switch listings
• Properties with inaccurate location information
• Commercial properties listed under residential categories (or vice versa)

5. User Conduct

When using JoanProp, you agree not to:

• Violate any applicable Malaysian or international laws or regulations
• Harass, threaten, or abuse other users, agents, or JoanProp staff
• Submit spam, unsolicited communications, or bulk messages
• Scrape, crawl, or systematically extract data from the Platform without permission
• Attempt to gain unauthorised access to any part of the Platform or other users' accounts
• Use the Platform for any unlawful or fraudulent purpose
• Impersonate any person, agent, or organisation
• Interfere with or disrupt the integrity or performance of the Platform
• Upload malicious code, viruses, or harmful content of any kind

6. Intellectual Property

All content on the JoanProp Platform — including but not limited to the logo, brand name, website design, software, text, and graphics — is the property of JoanProp and is protected by Malaysian intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from our Platform content without our express written permission. You retain ownership of content you submit (listings, photos, descriptions) but grant JoanProp a non-exclusive, royalty-free licence to display, distribute, and promote such content on the Platform.

7. Disclaimers

The Platform is provided on an "as is" and "as available" basis. JoanProp makes no representations or warranties of any kind, express or implied, regarding:

• The accuracy, completeness, or reliability of listing information
• The availability or fitness for purpose of any property listed
• The conduct or reliability of any agent or user on the Platform
• Uninterrupted or error-free operation of the Platform

JoanProp does not verify the legal title, encumbrances, or physical condition of any property. All users are strongly advised to conduct their own due diligence and seek independent legal and financial advice before entering into any property transaction.

8. Limitation of Liability

To the maximum extent permitted by Malaysian law, JoanProp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the Platform
• Any property transaction facilitated through the Platform
• Reliance on any listing information posted by users
• Unauthorised access to your account due to your failure to maintain security

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to JoanProp in the 12 months preceding the claim (or RM 100, if you have not made any payment).

9. Indemnification

You agree to indemnify, defend, and hold harmless JoanProp and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Any listing you submit that is false, inaccurate, or misleading
• Your infringement of any third party's intellectual property or other rights
• Any dispute between you and another user

10. Termination

JoanProp reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

You may delete your account at any time by contacting us at hello@joanprop.com. Upon termination, your right to use the Platform ceases immediately, though certain provisions of these Terms survive termination (including Sections 6, 7, 8, and 9).

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after such notice constitutes your acceptance of the revised Terms.
